The parties specifically disclaim the application of the United Nations Convention for the International Sale of Goods and agree that should any suit, action or proceeding arising out of this Agreement be instituted by any party hereto, such suit, action or proceeding shall be instituted only in a state court in Rock County, Wisconsin or in federal court in the Western District of Wisconsin (the “Approved Jurisdiction”). Lanair and Customer each consent to the in personam jurisdiction of any state or federal court in the Approved Jurisdiction, and waive any objection to the venue of any such suit, action or proceeding.
